Your Opportunity

Schwab is seeking a Director, Bank Lending Counsel to join its legal department in Westlake, TX. As a member of Schwab’s legal department, the Director will be responsible for providing candid advice and counsel to the Senior Lending Team in our banking organization. The Director, will advise the firm with respect to the legal and regulatory matters related to the function of providing loans or other financing, including securities-based lending, margin loans, residential mortgage origination, residential mortgage servicing, foreclosure and debt collection and credit reporting.  This position addresses both the transactional and regulatory aspects of consumer lending. The transactional aspects require experience in structuring, negotiating, and documenting consumer loans, loan modifications, restructurings, and other financial arrangements.  The regulatory practice will focus on federal and state consumer protection laws.

What you are good at

  • Draft, review and negotiate loan agreements.
  • Advise on new loan products and strategies.
  • Review and advise on loan provisions and borrower organizational documents for business entities and trusts.
  • Advising regarding asset servicing issues and consumer regulatory compliance.

What you have

  • J.D. from an accredited law school and state bar admission (Texas preferred).
  • 5 + years relevant experience in negotiating consumer or commercial loans. Experience with non-purpose securities loans, margin loans, or mortgage loans preferred.
  • Knowledge of applicable banking laws, including UCC Articles 8 and 9 and Regulation U.
  • Strong organizational, interpersonal and communication skills (verbal and written) with the ability to collaborate with all levels of staff including senior management.
  • Experience managing electronic board portals, entity management systems, electronic document filing and maintenance, and with budgeting and legal billing.
  • Excellent written and oral communications skills.
  • Strong organizational and project management skills.
  • Proven ability to establish foundations for influence, building credibility and open, trusting relationships.
  • Team player with a strong focus on collaboration.
  • Demonstrated ability to work in a fast-paced environment, respond to shifting requirements and business obstacles, and achieve practical solutions.
  • Strong analytical skills and demonstrated judgment to evaluate risks, costs, and benefits.
  • Demonstrated eagerness and ability to seek and adopt new technological solutions.
